Drafters tempted to copy these terms from deal to deal as mere “boilerplate” do so at their peril, because these standard provisions can have case-dispositive effect. Drawing on real case studies, learn why contract terms involving waiver, merger and integration, choice of law and venue, and others deserve a second look.
